1) Acceptance of Terms
By using our website or services, you agree to these Terms and our Privacy Policy. If you’re entering into this agreement on behalf of a company, you represent you have authority to do so.
2) Dispatcher Role
We provide dispatch support to motor carriers/owner-operators. We are not a motor carrier and do not take possession of freight.
3) Eligibility
You must hold active MC/DOT authority, required insurance, and comply with applicable laws. You are responsible for accurate account information.
4) Services
Load search and booking, rate negotiation, paperwork handling (rate confirmations, BOLs, PODs), backhaul planning, and ongoing communication. Exact scope may vary by written agreement.
5) Fees & 3% Promo
Standard fee: percentage of gross load revenue on each booked load. New clients receive a 3% dispatch fee for the first 30 days from onboarding. The promo may be changed or discontinued at any time.
6) Paperwork & Confirmations
You must provide W‑9, COI, authority letters, and required documents. Verify all rate confirmations before acceptance and comply with timing/HOS/cargo securement.
7) No Guarantee & Your Responsibilities
We do not guarantee specific rates, lanes, or revenue. You are responsible for safety, compliance, vehicle condition, fuel/tolls, and cargo claims.
8) Independent Contractor
We act as an independent contractor; no partnership, joint venture, or employment relationship is created.
9) Communications Consent
By providing your phone/email, you consent to calls/SMS/emails (including autodialed) related to loads and services. Message/data rates may apply. You can opt out of marketing texts at any time by replying STOP.
10) Third-Party Services
We may use third-party tools like load boards, e-signature, and payment processors. Their terms and privacy policies apply.
11) Intellectual Property
Site content, logos, and materials are our property or our licensors’. You may not copy, modify, or redistribute without permission.
12) Confidentiality
Each party will protect non-public information and use it only to perform obligations hereunder.
13) Prohibited Uses
No unlawful use, misrepresentation of identity/authority, or interference with networks or data.
14) Disclaimers
Services are provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties to the fullest extent permitted by law.
15) Limitation of Liability
We are not liable for indirect, incidental, special, consequential, or punitive damages. Our total liability is limited to fees paid in the 3 months preceding the claim.
16) Indemnification
You agree to indemnify and hold us harmless from claims and expenses arising from your use of the services or breach of these Terms.
17) Force Majeure
We are not responsible for delays or failures due to events beyond our reasonable control.
18) Termination
Either party may terminate at any time (unless a separate written agreement states otherwise). Fees remain due for loads already booked.
19) Governing Law & Disputes
